Who Are The Yarrow Lane Cottagers?
We're a group of like-minded individuals who all saw the advantages of owning some recreational property east of Jarvis Lake. We number just over 20 owners that use Yarrow Lane to get to our properties. Back in the early 00's, when the original owners started to buy and develop property, it became apparent that Yarrow Lane would need some annual maintenance. The best way to administer that work would be to incorporate a road 'association' that all the property owners would own a share in.
That corporation is 1641474 Ontario Ltd. Its articles of incorporation, with a heightened attention to brevity, set out how road fees would be set and collected. They also provide general information about how the corporation would be run. Over the years, at Annual General Meetings (AGMs), ad hoc Board of Director meetings, and social gatherings (where an adult beverage or two might be consumed) the ongoing exchange of ideas has continuously focused on building a stronger sense of community.
What's The YLC Board of Directors For?
The Board of Directors for 1641474 Ontario Ltd. comprise (at a minimum) the officer positions of President, Treasurer and Secretary. There are a maximum of six (6) members of the Board; the non-officer positions are Directors.
The role of the Board is to act as a governing body for the corporation. Individuals who are elected to the Board are responsible for overseeing the corportion’s activities. At least once a year, all members of the Board meet to discuss and vote on the affairs of the corporation. Any additional meetings tend to take place so Board members can deal with a pressing issue. Being a Board member is not permanent position; the term for a board member, regardless of position, is three (3) years.
The roles of the officers are defined in the corporation’s bylaws; individuals cannot be compensated to hold an officer or director position - they are volunteers, or volunteer'ed.
- The President heads up the Board and supervises all of the business and affairs of the Board.
- The Secretary keeps the minutes of the Board of Directors and the corporation's Annual General Meeting (AGM). Additionally, the Secretary is responsible for keeping track of the organization’s activities to make sure the actions of the corporation are in accordance with the corporation’s bylaws. The Secretary also manages the members’ contact information.
- The Treasurer manages the corportion’s financial accounts, budgets and reporting to the members the organization’s financial position.
It is not possible for an individual to hold two separate offices.
Any owner (shareholder) can be elected an officer or director of the corporation; elections take place as needed at the AGM.
